These terms apply to all Bring On Monday Limited client engagements from 14 October 2026. Your proposal sets out your specific services and fees. If anything is unclear, ask us first.
1. What we will do
The services, fees and any additional terms for specific services are set out in your proposal.
This engagement starts on the date in your proposal and continues until either of us ends it under clause 14. We review fees once a year at your financial year end and give you at least 30 days' written notice of any change. If you do not accept a change, you may end the engagement before it takes effect.
2. What this engagement is not
- We are not auditing or reviewing your financial statements, and our work is not designed to detect fraud or error, although we will tell you if something concerns us.
- Our advisory work is business advice. It is not regulated financial advice under the Financial Markets Conduct Act 2013, investment advice or legal advice, unless we tell you in writing that specific advice is being given by an adviser authorised to give it.
- Forecasts, budgets and projections rest on assumptions about the future. Actual results will differ.
- Tax returns and financial statements are prepared from the information you give us. We do not verify it unless we have agreed to.
3. Work outside the agreed scope
Your fee covers the services above and normal day to day contact about them. Anything else, such as an Inland Revenue review, an amended return, a finance application or a transaction, is quoted and agreed before we start, through a Change of Service Request accepted online.
4. What we need from you
- Complete, accurate and timely information, and access to the people and records we reasonably need.
- Tell us promptly about anything that could affect your accounts or tax, including changes to your business, structure, ownership or contact details.
- Respond in time for us to meet filing deadlines. If information arrives late, we will do our best but cannot guarantee the deadline.
- You remain responsible for your records, your tax obligations and the decisions you make. Our advice is based on your circumstances as described to us and the law at the time.
- Inland Revenue penalties or interest caused by incomplete, inaccurate or late information are your responsibility, unless caused by our error.
5. Our standards
Bring On Monday Limited is a registered tax agent with Inland Revenue. Several of our advisors are members of the Accountants and Tax Agents Institute of New Zealand (ATAINZ) and work to its code of ethics, and a qualified person reviews work before it reaches you. If something is not right, tell your advisor. If it is not resolved, raise it with a director, and if you are still not satisfied you may complain to ATAINZ about any of our members.
6. Fees and payment
- Fees are set out in your proposal and exclude GST. Recurring fees are payable monthly in advance by direct debit or card through our payment system unless we agree otherwise. One-off work is invoiced as stated.
- Costs we pay on your behalf, such as Companies Office fees, are passed on at cost.
- If an invoice is unpaid after a reminder we may pause work until it is settled, charge interest at 1.5% per month, and recover reasonable collection costs.
- Fixed fees assume the scope described and records kept to a reasonable standard. If your records are materially different from what we understood when we quoted, or fixed fee work is stopped part way through, we will talk to you before any fee changes.
7. Confidentiality, privacy and who we share your information with
Confidentiality.
We keep your information confidential and never sell it. We share it only as set out here, where the law, a court or a regulator requires, where our professional body, insurers or advisers need it, or where you tell us to.
Personal information.
We collect and hold personal information to deliver these services, act as your tax agent and meet our legal obligations, and we handle it under the Privacy Act 2020. We may also collect it from Inland Revenue, your bank feeds and software, and people in your business you ask us to work with. You can ask to see or correct it at any time. Our privacy officer's details are at bringonmonday.com/privacy-policy.
The providers we use.
Specialist software and service providers do part of our work and some hold your information for us. Each may use your information only to serve us, and must keep it confidential and secure. The full list, what each does and where your information is held, is at bringonmonday.com/providers. We update that list, and tell you, before a new provider has access to your information.
Connecting your software.
You authorise us to connect to your accounting, payroll and banking software, including Xero, and to your Inland Revenue information, and to hold a synchronised copy of that data in our reporting platform so we can monitor, report and advise on your business.
Benchmarks and insights.
We may use your information in de-identified form, combined with other clients', to produce benchmarks and insights. Nothing we share will identify you, your business or your people.
Where your information is held.
Our South African team, a related company working under our direction and in our systems, and some of our providers access or hold information outside New Zealand, including in Australia, the United States and South Africa. They act only for us and may not use your information for their own purposes, so we remain responsible for it under the Privacy Act wherever it is held. Those countries' laws may not protect information the way New Zealand law does. By accepting these terms you authorise these arrangements.
If something goes wrong.
If a privacy breach involving your information is likely to cause serious harm, we will tell you and the Office of the Privacy Commissioner as the Privacy Act requires, and tell you what we are doing about it.
How long we keep it.
Seven years after the tax year it relates to, as tax law requires, then disposed of securely.
8. Employee and payroll information
Where we run your payroll, or analyse it as part of our advisory work, we handle personal information about your employees.
- We use pay totals, hours, earnings categories, leave balances, headcount, and each employee's name or reference.
- IRD numbers, bank account numbers, home addresses and dates of birth are excluded from our analysis and reporting systems at the point of collection. Where we process your payroll, we hold only what Inland Revenue and your employees' banks require.
- You confirm you are entitled to give us this information and have told, or will tell, your employees that their payroll information is shared with Bring On Monday Limited, what it is used for, and that our privacy policy is at bringonmonday.com/privacy-policy.
- We use it only to deliver these services and share it only as described in clause 7.
9. Technology and AI
We use cloud software and AI tools so our time goes on advice rather than administration. A qualified person reviews anything that reaches you and we are responsible for it regardless of the tools used. The AI tools we use to analyse your information are named on our providers page, and each has agreed by contract not to train on your information.
10. Documents and records
- Your original documents remain yours. Our working papers, models and templates remain ours. You may use anything we produce for you for your own business purposes; it is for you and may not be relied on by others without our written agreement.
- Where fees are unpaid, we may hold documents and deliverables until they are settled, to the extent the law allows.
11. Our liability to you
We take responsibility for our work, with a limit that is standard for professional firms.
- Our total liability for any loss connected with this engagement, in contract, tort (including negligence), equity or otherwise, is limited to the greater of five times the fees you paid us in the 12 months before the event for the service concerned, or NZD 50,000, in aggregate.
- We are not liable for indirect or consequential loss, or loss of profit, revenue, goodwill or opportunity.
- Our liability is reduced to the extent that you or anyone else contributed to the loss, including through incomplete, inaccurate or late information, or by not following our advice.
- Claims must be brought within two years of when you became aware, or ought reasonably to have become aware, of the matter.
- Where our services are supplied to you and acquired by you in trade, you agree the Consumer Guarantees Act 1993 does not apply and that it is fair and reasonable we are both bound by this clause. Where you are a consumer, nothing here limits rights that cannot be excluded.
- Any claim is against Bring On Monday Limited, not against our directors, employees or contractors personally, and they may rely on this clause.
- Nothing here limits liability for fraud or dishonesty, or any liability that cannot be limited by law.
12. Conflicts of interest
If a conflict arises between your interests and those of another client or our firm, we will tell you and agree how to handle it. If it cannot be managed, we may have to stop acting for one party.
13. Anti-money laundering
Some accounting services, such as forming companies or trusts, acting as a nominee, trustee or registered office, or handling client funds, are captured by the Anti-Money Laundering and Countering Financing of Terrorism Act 2009. For those services we must identify and verify you, and the people who own and control a company or trust, before we start, and may ask about the source of funds. We may verify identity electronically. If we cannot complete our checks we may decline or end the work, and the law may prevent us from telling you why.
14. Ending this engagement
- Either of us may end this engagement on 30 days' written notice, or immediately if the other materially breaches these terms and does not fix it within 10 working days of being asked.
- We may also end it immediately if fees remain unpaid after a reminder, if we cannot complete anti-money laundering checks, or if a conflict cannot be managed.
- On ending, you pay for work done to that date. We hand over to your new advisor, and may charge for the time involved. We then stop acting as your tax agent, remove our link to your Inland Revenue accounts, disconnect your software, remove your data from our reporting platform, and delete anything we are not required to keep.
15. Disputes and governing law
If something goes wrong, talk to us first. If we cannot resolve it, we both agree to try mediation before going to court. This does not stop either of us seeking urgent relief or recovering unpaid fees. New Zealand law governs this agreement and the New Zealand courts have jurisdiction.
16. Our service guarantee
If you are not happy with something we have done, tell us straight away and we will put it right. If we cannot, we will agree a fair adjustment to the fee for that work, up to a full refund of what you paid for it. Please raise it within 90 days of the work being delivered.
17. General
- You accept this agreement electronically, which has the same effect as a signature under the Contract and Commercial Law Act 2017.
- This agreement, your proposal and any accepted Change of Service Request are the whole agreement between us and replace earlier terms.
- We may update these terms on 30 days' written notice. If you do not accept an update, you may end the engagement before it takes effect.
- We may transfer this agreement to a successor to our practice on written notice. You may not transfer it without our written agreement.
- We communicate by email and online systems, and you accept the small risk of interception or delay that comes with them. Notices may be given by email. If any part of this agreement is unenforceable, the rest continues.
